Terms of Use

1. These terms

These terms cover your use of www.okiedokiedistribution.com and the wholesale orders you place with Okie Dokie Distribution LLC, an Oklahoma limited liability company ("Okie Dokie", "we", "us"). By creating an account or placing an order you agree to them.

2. Who can buy

We sell to businesses that buy for resale. We review every application and may decline an application or close an account.

Before you can order, we need two documents on file and approved by our team: your state resale or exemption certificate and a signed MTC Uniform Sales and Use Tax Certificate. Businesses outside the United States need the signed MTC form only. Please keep your documents and business details current; we may pause ordering while a document is missing, expired or not approved.

3. Your account

Keep your password private. You are responsible for what happens under your account, and you should tell us right away if you think someone else has used it.

4. Orders

• Reserving holds your place in line, first come, first served, with no deposit.
• Quantities depend on what our suppliers deliver. We may fill part of an order, and we may cancel lines a supplier cannot fill.
• Arrival dates are estimates, not promises.
• Some items carry conditions you accept at checkout. Those acknowledgements are part of these terms for that order.

5. Prices, invoices and payment

Prices are shown to approved members in the catalog. You are invoiced through QuickBooks when your order is ready to ship, and orders ship on cleared payment. How shipping, freight and prep are handled and billed is described on our Shipping Info page, which is part of these terms.

6. Reselling our products

You are responsible for following the laws and the marketplace rules (Amazon, Walmart and others) that apply to how you resell. We do not promise approval to sell any brand or category on any marketplace, and we do not provide letters of authorization (LOAs).

Items marked with a sales restriction, such as not for resale on Amazon or for sale in physical stores only, must be resold only as stated. Breaking a restriction you agreed to can end your access to the site and may be reported to the brand.

7. Product information

Descriptions, photos, case packs and arrival windows come largely from our suppliers and can change. Where we have safety documents such as a Children's Product Certificate or lab test reports, the listing says so.

8. Our QuickBooks connection

The site includes a private connection between Okie Dokie and its own QuickBooks Online company. Only our staff use it, to create customer records, items and invoices for our own bookkeeping. Buyers do not install, authorize or use this connection. Information passes between the site and QuickBooks only to issue and track invoices, and is handled as described in our Privacy Policy. Intuit and QuickBooks are trademarks of Intuit Inc., which is not responsible for this site.

9. Using the site

The catalog, pricing and member pages are for your business's buying decisions only; do not republish them, copy the site with automated tools, or interfere with how it works. Content on the site belongs to us or to the brands that own it.

10. Disclaimers and limits

We work to keep the site accurate, but it is provided as is, and mistakes can happen. To the extent the law allows, our responsibility for any claim about an order is limited to the amount you paid for that order, and we are not responsible for indirect losses such as lost profits.

11. Governing law

These terms are governed by the laws of the State of Oklahoma.

12. Changes

When we change these terms we post the new version here with a new date at the top. Orders already placed keep the terms that applied when you placed them.
